Terms of Service

Last updated: October 15, 2026

These Terms of Service (the "Terms") govern access to and use of the Voisnap platform (including voisnap.ai and console.voisnap.ai) and the Torqueshift platform (including torqueshift.ai), together with their websites, consoles, APIs, SDKs, widgets, and related services (each and together, the "Service"). Both products are operated by the same legal entity, Torqueshift Inc., a Delaware corporation with its registered address at 2810 N Church St, STE 88224, Wilmington, DE 19802, USA ("we", "us", or "our"). References to "Voisnap" as a party in these Terms mean Torqueshift Inc.; product-specific features described below apply to the product you use.

By creating an account, signing an order form that references these Terms, or otherwise accessing or using the Service, you ("Customer" or "you") agree to be bound by these Terms. If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use the Service.

If you have signed a separate written agreement with Voisnap covering the Service (for example, an enterprise master services agreement, a government procurement agreement, or an order form), that agreement controls to the extent it conflicts with these Terms.

1. The Service

The Service comprises platforms for building, deploying, and operating AI-powered voice and chat agents and related AI applications. Depending on the product, your plan, and your configuration, the Service includes: an agent builder and management console; AI agents that converse with your end users over web voice and chat widgets, telephone calls, messaging channels (such as WhatsApp, Facebook Messenger, Instagram, SMS, and email), and other supported channels; knowledge bases and retrieval-augmented generation; integrations, webhooks, and tool execution against your systems; call recordings, transcripts, and post-conversation analysis; and usage analytics and billing tooling.

The Service orchestrates third-party large language models, speech-to-text, text-to-speech, telephony, and messaging providers on your behalf. Features may vary by region, plan, and channel, and we may add, change, or retire features over time, provided that we will not materially reduce the core functionality of a paid plan during a paid-up subscription period.

2. Accounts and eligibility

  • The Service is intended for business and public-sector use. You must be at least 18 years old and use the Service on behalf of a business, government body, or other organization.
  • You must provide accurate, complete registration and billing information and keep it up to date.
  • You are responsible for all activity under your account and for safeguarding credentials, API keys, and access tokens. Notify us promptly at security@voisnap.ai of any suspected unauthorized use.
  • Agencies and resellers that manage workspaces on behalf of their own clients are responsible for their clients' compliance with these Terms.

3. Customer Content and data

"Customer Content" means all data, prompts, knowledge-base documents, agent configurations, audio, recordings, transcripts, messages, and other materials that you or your end users submit to the Service, together with the outputs the Service generates for you from that material.

  • You own your Customer Content. As between you and Voisnap, you retain all rights in Customer Content.
  • You grant Voisnap a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide, secure, and support the Service, to comply with law, and as otherwise instructed by you.
  • We do not use Customer Content to train our own or any third party's general-purpose AI models. AI providers are accessed through service APIs configured not to use your data for model training.
  • You are responsible for the accuracy, quality, and legality of Customer Content, for having all rights and consents necessary to submit it (including end-user consents), and for the means by which you acquired it.
  • Processing of personal data within Customer Content is described in our Privacy Policy. Our Data Processing Agreement (incorporating the EU Standard Contractual Clauses where applicable, with regional appendices for the EEA/UK/Switzerland, the United States, and Israel) forms part of these Terms and applies whenever we process personal data on your behalf under the GDPR, Israel's Protection of Privacy Law, or comparable laws.

4. AI-generated output

The Service produces output using probabilistic AI models. Output may be inaccurate, incomplete, or inappropriate for your use case, and may vary across runs even for the same input. You acknowledge and agree that:

  • You are responsible for reviewing output and for any decisions, actions, or communications made in reliance on it.
  • You will not represent AI output as human-generated where a disclosure duty applies, and you will configure agents to identify themselves as automated where required by applicable law.
  • The Service must not be used as the sole basis for decisions that produce legal or similarly significant effects on individuals (for example credit, employment, housing, insurance, benefits-eligibility, or clinical decisions) without meaningful human review.
  • AI output is not professional advice. Where agents operate in medical, legal, or financial contexts under Section 6, they support — and do not replace — licensed professionals, and you are responsible for the appropriate professional oversight.
  • The Service is not designed for, and must not be used for, emergency services (such as calls to 911, 112, 100, or 101), life-support, or other safety-critical applications.

5. Acceptable use

You will not, and will not permit any third party to:

  • use the Service in violation of any applicable law or regulation;
  • place or facilitate unlawful calls or messages, including unsolicited robocalls, spam, or communications that violate telemarketing and messaging laws such as the TCPA, the TSR, CAN-SPAM, Israel's Communications Law (the "spam law", section 30A), or their equivalents in other jurisdictions, or contact numbers on applicable do-not-call registries without a lawful basis;
  • record or monitor conversations without providing all notices and obtaining all consents required by applicable call-recording, wiretapping, and secret-monitoring laws (including two-party-consent jurisdictions);
  • use the Service to deceive, defraud, harass, or impersonate any person, including by cloning a voice or identity without authorization;
  • submit content that is illegal, infringing, or defamatory, or submit regulated data categories outside the conditions set out in Section 6;
  • probe, scan, or test the vulnerability of the Service except through an authorized security review, or interfere with its operation or other customers' use;
  • reverse engineer, copy, or create derivative works of the Service, or access it to build a competing product;
  • resell or white-label the Service except as expressly permitted by your plan or a written agreement with us; or
  • circumvent usage limits, metering, or access controls.

We may suspend or restrict access immediately where we reasonably believe use of the Service violates this section, threatens the security or integrity of the Service, or exposes Voisnap or any third party to liability. Where practicable we will notify you and work with you to restore access.

6. Regulated industries and sensitive data

The Service is designed to support deployments in regulated sectors, including healthcare, financial services, and government, with features such as per-tenant data residency (US, EU, or Israel), encryption, selective PII redaction of recordings and transcripts, consent management, role-based access, and audit logging. The following conditions apply:

  • Healthcare. You may submit protected health information (PHI) or comparable health data only after a Business Associate Agreement (BAA) or equivalent health-data agreement has been executed between you and Voisnap and the workspace has been configured as advised for health data. Where a BAA is in place, Voisnap acts as your business associate under HIPAA and processes PHI in accordance with the BAA.
  • Financial services. Where you are a financial institution, Voisnap acts as your service provider and will handle nonpublic personal information in accordance with the Data Processing Agreement and applicable financial-privacy requirements (such as those under the GLBA or equivalent Israeli and EU rules). You remain responsible for your own sectoral obligations, including supervisory notification, outsourcing, and record-keeping rules that apply to you.
  • Government and public sector. Public-sector deployments are supported, including single-region data residency and tenant isolation. Jurisdiction-specific procurement, security, or sovereignty requirements apply only where agreed in a signed agreement or order form.
  • Special categories of personal data (within the meaning of GDPR Article 9), "information of special sensitivity" under Israel's Protection of Privacy Law, and similar sensitive data may be processed through the Service only where you have a lawful basis, have given the required notices and obtained the required consents, and have put the applicable agreements (DPA and, for PHI, a BAA) in place.
  • You are responsible for configuring retention, redaction, recording, and residency settings consistently with your regulatory obligations; the Service applies the configuration you choose.

7. Telephony and messaging channels

  • Telephone numbers, calling, and messaging capacity are provided through third-party carriers and communication platforms. Their acceptable-use and compliance rules apply in addition to these Terms.
  • Channels operated by third-party platforms (for example WhatsApp, Messenger, and Instagram by Meta) are subject to those platforms' terms and policies, and availability of such channels depends on approvals granted by those platforms.
  • You are solely responsible for the content of your agents' communications, for lawful calling and messaging practices (including caller ID accuracy, quiet hours, opt-outs, and consent records), and for registering sender identities where required.

8. Third-party services and integrations

The Service interoperates with third-party services — including AI model providers, telephony carriers, messaging platforms, and any systems you connect through integrations, webhooks, tools, MCP servers, or linked documents. Your use of a third-party service is governed by that third party's terms, and Voisnap is not responsible for third-party services. Where you supply your own credentials or API keys for a third-party service, you are responsible for that account and its charges, and you authorize us to use those credentials on your behalf to provide the Service.

9. Fees and payment

  • Fees are set by your plan or order form and may include recurring subscription fees, usage-based fees, and included usage allowances. Usage is metered by the Service and our records are authoritative absent manifest error.
  • Unless stated otherwise, fees are billed in advance for subscription charges and in arrears for usage, are exclusive of taxes (which you are responsible for, excluding taxes on our income), and are non-refundable, including unused included allowances.
  • Payments are processed by our payment providers (currently Stripe). Where your plan is denominated in a currency other than USD, the applicable rate and currency are shown in the console and on invoices.
  • If undisputed fees are overdue, we may suspend the Service after notice until payment is received. We may charge interest on overdue amounts to the extent permitted by law.
  • We may change pricing with at least 30 days' notice; changes take effect at your next renewal.

10. Beta and preview features

We may offer features identified as alpha, beta, preview, or early access. These are provided "as is", may be changed or discontinued at any time, may be subject to additional terms, and are excluded from any service commitments and warranties.

11. Intellectual property

Voisnap and its licensors retain all right, title, and interest in and to the Service, including all software, models of operation, documentation, and trademarks. No rights are granted except as expressly set out in these Terms. If you provide feedback or suggestions, we may use them without restriction or obligation to you.

12. Confidentiality

Each party will protect the other party's non-public information disclosed in connection with the Service using at least reasonable care, will use it only to perform under these Terms, and will not disclose it to third parties except to employees, affiliates, and contractors bound by confidentiality obligations, or where required by law (with notice to the other party where lawful). These obligations survive for three years after termination; trade secrets are protected for as long as they remain trade secrets.

13. Warranties and disclaimers

We warrant that we provide the Service using commercially reasonable skill and care. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND VOISNAP DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE. THIRD-PARTY SERVICES, NETWORKS, AND CARRIERS ARE OUTSIDE OUR CONTROL.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO VOISNAP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THESE LIMITS DO NOT APPLY TO CUSTOMER'S PAYMENT OBLIGATIONS, EITHER PARTY'S BREACH OF SECTION 12 (CONFIDENTIALITY), CUSTOMER'S BREACH OF SECTION 5 (ACCEPTABLE USE) OR SECTION 6 (REGULATED INDUSTRIES), CUSTOMER'S INDEMNIFICATION OBLIGATIONS, OR LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

15. Indemnification

You will defend and indemnify Voisnap against third-party claims, and resulting damages, penalties, and reasonable costs, arising from: (a) Customer Content; (b) your use of the Service in violation of these Terms or applicable law, including call-recording, telemarketing, messaging-consent, AI-disclosure, and sector-specific regulatory requirements; or (c) products and services you provide to your own end users. We will defend and indemnify you against third-party claims alleging that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual property rights; this obligation does not apply to claims arising from Customer Content, third-party services, or combinations of the Service with items not provided by us.

16. Term, suspension, and termination

  • These Terms apply from your first use of the Service and continue until your account and all subscriptions are terminated.
  • Subscriptions renew automatically for successive periods equal to the then-current billing period unless either party gives notice of non-renewal before the renewal date.
  • Either party may terminate for material breach not cured within 30 days of written notice. We may terminate immediately for breaches of Section 5 or where required by law or by a third-party platform on which a channel depends.
  • For 30 days after termination you may request an export of your Customer Content in a commonly used format; after that period we will delete Customer Content in accordance with our retention practices, except where retention is required by law.
  • Sections that by their nature should survive termination (including Sections 3, 11–15, and 17–18) survive.

17. Changes to these Terms

We may update these Terms from time to time. For material changes we will give at least 30 days' notice by email or in the console. Changes take effect on the stated effective date; your continued use of the Service after that date constitutes acceptance. If you object to a material change, you may terminate the affected subscription effective as of the change date, and we will refund any prepaid fees covering the period after termination.

18. Governing law and general provisions

  • These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The state and federal courts located in Wilmington, Delaware have exclusive jurisdiction, and each party consents to their venue. Nothing in this section limits mandatory consumer or data-protection rights that apply to you by law, or either party's obligations under data-protection laws that apply regardless of choice of law (such as the GDPR or Israel's Protection of Privacy Law).
  • Neither party is liable for delay or failure caused by events beyond its reasonable control (force majeure).
  • You may not assign these Terms without our consent, except to a successor in a merger or sale of substantially all assets with notice to us. We may assign these Terms to an affiliate or successor.
  • Notices to Voisnap must be sent to legal@voisnap.ai or to our registered address above. We may send notices to the email address on your account or through the console.
  • These Terms, together with any order forms, the Privacy Policy, any Data Processing Agreement, and any Business Associate Agreement, are the entire agreement regarding the Service. If any provision is held unenforceable, the remainder stays in effect. A waiver is effective only in writing.
